The remuneration of Directors of the Company is established by the General Meeting of Shareholders taking into account the structure, obligations and responsibilities of the Board of Directors, as well as personal and professional qualities of its members, the time dedicated to Board activities and their experience.
The remuneration of the Company’s chief executives (Vice Presidents, Managers and Directors) has a variable component, the aim of which is essentially to reward value generation, through the alignment of the top management team with shareholder interests, through a bonus to be distributed among the former.
The system that has been established for calculating said bonus may lead to the generation of either a positive or a negative bonus according to organizational results. When there is value generation (positive Delta EVA) the system gives rise to payment of positive bonuses. When the goals for increase in EVA set by the Board of Directors are not achieved a negative bonus is generated and, therefore, following next is the discount of a percentage of what had been rewarded to executives in previous years on occasion of the payment of positive bonuses. |
